Article 1 – Purpose and Scope

These General Terms and Conditions of Sale (hereinafter "GTC") govern all services offered by YB Inspire (hereinafter "the Service Provider"), a company incorporated under Swiss law, to its professional and/or individual clients (hereinafter "the Client"). These services include in particular:

  • Individual and group training programmes (in-person, remote, or hybrid);
  • Professional and personal coaching;
  • Consulting in organisational and managerial development;
  • Workshops, seminars and conferences;
  • Development, deployment and integration of artificial intelligence solutions and agents (AI-native services), including custom workflow automation, data processing and system integration;
  • Provision of access to standard artificial intelligence agents developed by the Service Provider and made available to Clients on a subscription or licence basis (AI Solutions), as described in the applicable service documentation;
  • Any other support service agreed between the parties.

Placing an order with the Service Provider implies full and unconditional acceptance of these GTC. In the event of any conflict between these GTC and the specific conditions set out in a signed quotation or contract, the latter shall prevail.

Article 2 – Service Provider Details

Company name: YB Inspire
Legal form: Limited liability company (Sàrl)
Registered office: Chemin des Charmettes 9, c/o RSM Switzerland AG, succursale de Lausanne, 1003 Lausanne, Suisse
UID number: CHE-403.502.257
Website: www.ybinspire.com

Article 3 – Quotation, Order and Contract Formation

Any service request gives rise to a personalized quotation sent to the Client electronically. The quotation sets out the nature, content, terms and price of the proposed service. The contract is formed and the order considered firm and final upon receipt of:

  • The quotation dated and signed by the Client (or any authorized representative);
  • Together, where applicable, with payment of the deposit referred to in Article 5.

In accordance with Articles 1 et seq. of the Swiss Code of Obligations (CO), the contract is formed upon the mutual expression of intent by both parties. The Service Provider reserves the right to decline any order for a legitimate reason, without this giving rise to any right to compensation.

Article 4 – Pricing

Service fees are quoted in Swiss francs (CHF), exclusive of value added tax (VAT) where applicable, as set out in the quotation provided to the Client. Prices are determined based on the nature, duration and scope of the service and any specific criteria agreed between the parties.

The Service Provider reserves the right to amend its prices at any time. However, services ordered prior to any price change will be invoiced at the price in effect on the date of the order.

Additional costs (travel, accommodation, training materials, room hire) may apply as specified in the quotation and will be recharged to the Client on a cost-recovery basis upon presentation of supporting documents.

Article 5 – Payment Terms

5.1 Payment Options

The applicable payment schedule is specified in the quotation accepted by the Client. Two options are available:

Option A — Annual commitment, monthly payment. The total annual fee is divided into twelve (12) equal monthly instalments. Unless otherwise agreed, payment is collected automatically by direct debit on the 1st day of each calendar month, starting from the date of contract formation.

The Client shall be notified of each upcoming debit by email at least seven (7) calendar days before the collection date (advance rebilling notice), specifying the amount to be charged and the payment method on file. The Client is responsible for ensuring that the designated account or payment method holds sufficient funds at the time of collection.

In the event of a failed debit, the Service Provider shall make one (1) retry within five (5) business days. If the second attempt also fails, the outstanding instalment shall be treated as a late payment and the provisions of Article 5.3 shall apply. The Client's annual commitment remains binding regardless of the monthly payment method: no partial termination is permitted mid-term solely on the basis of payment frequency.

Option B — Annual commitment, annual payment. Unless otherwise specified in the quotation, the following payment terms apply:

  • Deposit of 30% of the total amount (VAT included) upon signing the quotation;
  • Balance of 70% due upon completion of the service or upon receipt of the invoice.

Payment shall be made by bank transfer in Swiss francs (CHF) to the Service Provider's account as indicated on each invoice, or by any other method agreed between the parties.

5.2 General Provisions

Regardless of the payment option selected, all fees are quoted in Swiss francs (CHF). Invoices are issued electronically to the email address provided by the Client at the time of order.

5.3 Late Payment

In accordance with Article 104 of the Swiss Code of Obligations (CO), any late payment beyond the due date stated on the invoice shall automatically entail:

  • Default interest at the statutory rate of 5% per annum (Art. 104 para. 1 CO), accruing from the day after the due date without prior notice;
  • Reimbursement of actual debt collection costs incurred (reminders, legal fees, etc.);
  • Suspension of any ongoing service until full payment is received.

Article 6 – Cancellation and Rescheduling

6.1 Cancellation by the Client

Any cancellation request must be submitted in writing (registered letter with acknowledgement of receipt or email with read receipt). The following conditions apply:

  • Cancellation more than 15 business days before the service: full refund of the deposit paid;
  • Cancellation between 8 and 15 business days: 50% of the total fee (excl. VAT) shall be retained;
  • Cancellation less than 8 business days before the scheduled service, or no-show without prior notice: the full service fee shall be invoiced as agreed lump-sum compensation, reflecting the costs and losses actually incurred by the Service Provider. In the case of individual clients acting as consumers within the meaning of Swiss law, this amount may be reduced by the competent court if found to be manifestly disproportionate to the Service Provider's actual damages (Art. 163 al. 3 CO).

6.2 Rescheduling by the Client

Rescheduling is permitted once only, subject to the Service Provider's availability, provided the request is made at least 7 business days before the original date. A second rescheduling request will be treated as a cancellation and the cancellation conditions of Article 6.1 will apply.

6.3 Cancellation by the Service Provider

In the event of cancellation by the Service Provider for reasons beyond its control, a new date will be proposed to the Client. Failing agreement, all sums paid will be refunded in full.

Where the Client has incurred documented direct costs (travel, accommodation) in connection with the scheduled service, and provided that such costs were not reimbursed under a third-party insurance or other arrangement, the Service Provider shall reimburse such costs up to a reasonable amount, upon presentation of original supporting documents.

Article 6bis – Contract Duration and Automatic Renewal

6bis.1 Initial Term

Unless otherwise specified in the quotation, all service contracts subject to an annual commitment (as referred to in Article 5.1) are concluded for an initial fixed term of twelve (12) months from the date of contract formation (hereinafter the "Initial Term").

6bis.2 Automatic Renewal

At the expiry of the Initial Term, and at the expiry of each subsequent renewal period, the contract shall be automatically renewed for a further period of twelve (12) months under the same terms and conditions, unless either party notifies the other of its intention not to renew in writing at least thirty (30) calendar days before the end of the then-current term.

Notice of non-renewal must be submitted in writing by email with read receipt to hello@ybinspire.com, or by registered letter to the Service Provider's registered office.

6bis.3 Price Adjustment at Renewal

The Service Provider reserves the right to adjust its fees at renewal. Any price change shall be notified to the Client in writing at least thirty (30) calendar days before the renewal date. If the Client does not accept the new pricing, they may terminate the contract without penalty by providing written notice before the end of the current term. Failure to object within that period shall constitute acceptance of the revised fees for the renewed term.

6bis.4 Effect on Monthly Payment Schedule

Where the Client has opted for monthly payment under Article 5.1 Option A, automatic renewal triggers a new twelve (12) month payment cycle. Monthly direct debits shall continue uninterrupted through the renewal period at the applicable rate notified in accordance with Article 6bis.3.

6bis.5 Early Termination

Termination prior to the expiry of the then-current annual term is not permitted, except in the following cases:

  • Material breach of contract by the Service Provider, unremedied within fifteen (15) business days of written notice;
  • Exercise of any statutory right of withdrawal applicable under the law governing the Client's domicile;
  • Mutual written agreement between the parties.

In all other cases of early termination initiated by the Client, the fees due for the remainder of the current annual term shall remain payable in full.

Article 7 – Performance of Services

The Service Provider undertakes to deploy all necessary means to perform the ordered services properly, in accordance with the agreed timelines and terms. The Service Provider is bound by an obligation of means, not of result, in accordance with the general principles of Swiss contract law.

The Client undertakes to provide, in a timely manner, all information, access and resources necessary for the proper delivery of the services. Any delay attributable to the Client may result in a corresponding delay in delivery without any liability on the part of the Service Provider.

Article 8 – Professional Training

In the context of professional training programmes, certain services may be eligible for cantonal or federal funding schemes, including:

  • Contributions under the Federal Act on Continuing Education and Training (WeBiG / LFCo, RS 419.1);
  • Sector-specific training and retraining funds (fonds paritaires), where applicable;
  • Cantonal incentive measures and subsidies for SME workforce development, depending on the Client's location and applicable cantonal law.

It is the Client's responsibility to verify eligibility and to complete the necessary administrative procedures with the relevant bodies. The Service Provider shall not be held liable for any refusal of funding and provides no guarantee regarding the eligibility of any given programme for such schemes.

Article 9 – Intellectual Property

All content, materials, methodologies, pedagogical tools and documents provided by the Service Provider in the course of its services are and remain the exclusive property of YB Inspire, protected under the Swiss Federal Act on Copyright and Related Rights (CopA, RS 231.1).

Any reproduction, distribution, adaptation or commercial use, even in part, is strictly prohibited without the prior written consent of the Service Provider. The Client is granted a non-exclusive, non-transferable right of internal use, limited to personal or intra-organisational purposes.

In the specific context of AI integration services, any software, AI agents, models or automated workflows developed specifically and exclusively for the Client pursuant to a signed quotation shall be governed by the intellectual property provisions set out in that quotation, which shall prevail over this Article to the extent of any inconsistency.

Article 10 – Confidentiality

Both parties undertake to keep confidential all information exchanged in the course of their contractual relationship, whether of a commercial, financial, technical or personal nature.

This confidentiality obligation applies throughout the term of the contractual relationship and for a period of three (3) years following its termination. It does not apply to information that has entered the public domain or that a party was already legally authorised to disclose.

Article 11 – Data Protection (nFADP)

YB Inspire collects and processes personal data of Clients and participants for the purposes of service delivery, invoicing and, where applicable, commercial communications. Such processing is carried out in compliance with the Swiss Federal Act on Data Protection (nFADP, RS 235.1) and its implementing ordinance (FADPO).

Any data subject has the right to access, rectify, erase, and port their personal data, as well as the right to object to certain processing activities. These rights may be exercised:

  • In writing to the Service Provider's registered office; or
  • By email to the dedicated data protection contact: hello@ybinspire.com.

Personal data is retained for as long as necessary to fulfil the purposes for which it was collected, in compliance with applicable Swiss statutory retention periods (notably Art. 958f CO for accounting records: 10 years). Data is never transferred to third parties without prior consent, unless required by law.

Where personal data is transferred outside Switzerland, the Service Provider ensures that appropriate safeguards are in place, in accordance with Art. 16 nFADP.

The Service Provider's website (www.ybinspire.com) may use cookies and similar tracking technologies for analytics and user experience optimisation purposes. Users may manage their cookie preferences via the consent interface accessible on the website. For full details, please refer to the Privacy Policy published at www.ybinspire.com.

Article 12 – Limitation of Liability

The Service Provider shall not be liable for any indirect damages, including but not limited to loss of profit, loss of revenue, reputational harm or any other consequential loss arising from the use of, or inability to use, the services.

In accordance with Art. 100 CO, liability for gross negligence cannot be excluded. Beyond this statutory minimum, the Service Provider's liability is limited to the amount of fees actually received in respect of the service giving rise to the claim.

Article 13 – Force Majeure

The Service Provider shall not be liable for any failure or delay in performing its obligations resulting from a force majeure event within the meaning of Swiss law (Art. 119 CO), including but not limited to natural disasters, strikes, epidemics, governmental measures, digital infrastructure failures or any other unforeseeable event beyond its control.

Article 14 – Dispute Resolution

In the event of any dispute arising from the interpretation or performance of these GTC, the parties undertake to seek an amicable resolution through direct negotiation before initiating any legal proceedings.

For Clients qualifying as consumers under Swiss law, the mandatory conciliation procedure provided for by the Swiss Civil Procedure Code (CPC, RS 272) shall apply prior to any court action.

Where direct negotiation fails, the parties shall submit the dispute to mediation before a recognised neutral body. Unless otherwise agreed in writing, the parties may refer the matter to the mediation centre of the Chamber of Commerce of the canton in which YB Inspire has its registered office, or to any other mutually agreed mediation institution. The costs of mediation shall be shared equally unless the mediator or applicable rules provide otherwise.

Article 15 – Governing Law and Jurisdiction

These GTC are governed exclusively by Swiss law, in particular the Swiss Code of Obligations (CO, RS 220).

In the event of a dispute that cannot be resolved amicably, the parties agree to submit to the exclusive jurisdiction of the ordinary courts of the canton in which YB Inspire has its registered office, subject to mandatory provisions of Swiss civil procedure law and applicable consumer protection rules.

Article 16 – Amendments to the GTC

YB Inspire reserves the right to amend these GTC at any time. Updated GTC apply to all orders placed after their publication on www.ybinspire.com. The GTC in force at the time of the order shall continue to apply to contracts already concluded.

For Clients with an active or ongoing contractual relationship at the time of any material amendment, YB Inspire undertakes to notify such Clients by email to the address provided at the time of their order, with a minimum notice period of thirty (30) days before the amended GTC take effect. Failure to object in writing within that period shall constitute acceptance of the amended terms. In the event of a written objection, the Client may terminate the contractual relationship without penalty, with reimbursement of any fees paid in advance for services not yet performed.
